Today, the Subscription Period for Comintelli AB begins in preparation for listing on Spotlight Stock Market. The subscription period spans from October 15th to November 1st. At full utilization, the issue will allocate SEK 6,9 million to Comintelli. The Company has received subscription commitments of approximately SEK 3,5 million, about 50 % of the issue volume.

Despite this, we have grown significantly during recent years and with our new, scalable cloud platform we believe that the potential for further growth is significant.” says Comintelli CEO Jesper Martell. “Our ambition is to increase our marketing activities the coming years and to firmly establish our company as a leading international actor in this fast-growing business segment.”

ABOUT COMINTELLI

Comintelli is a Swedish software company, founded in 1999 as a spin off from the telecommunications company Ericsson. Comintelli develops and licenses a cloud-based service for competitive and market intelligence called Intelligence2day®. The service is used by companies of different sizes in order to create meaning and insight out of a vastly growing volume of digital information. This type of information is often unstructured and derived from a very large number of different sources.

Intelligence2day® is particularly suited for companies that are active in industries categorized by rapid change and large volumes of unstructured information. For such companies it is of great importance to constantly monitor and identify factors such as trends, threats and opportunities and to adapt their strategies accordingly.

A majority of Comintelli’s customers are found within the industries of Chemicals/Energy, Pharmaceuticals/Healthcare and IT/Telecom. Examples of such customers are AkzoNobel, DSM, Essity, Telia and Tetra Pak.

During 2015 Comintelli undertook a major shift in strategy, resulting is a cloud-based business model with more standardized and scalable solutions. New customers are now up and running in much shorter time frames than before which has enabled the growth during the recent years. Total 2017 revenues were approximately 20,6 MSEK with an EBITDA of 3,5 MSEK and the board of directors expects a continued growth during 2018.

In preparation for listing on Spotlight Stock Market, the company is now undertaking a public share issue aiming to raise 6,9 MSEK. The company pre-money valuation is approximately 44,8 MSEK.

THE OFFER IN SUMMARY

Subscription period: 15 October – 1 November 2018
Subscription price: 6,90 SEK
Subscription post: Minimal subscription post is 1000 shares, equaling SEK 6 900.
New share issue volume: The offer comprises no more than 1 000 000 shares. At full utilization, the issue will allocate SEK 6,9 million to Comintelli before issue costs of approximately SEK 0.9 million.
Minimum limit: The minimum limit for the new share issue’s implementation is SEK 4,1 million (60% of the issue volume)
Number of shares beforethe new share issue: 6 490 000 shares
Valuation: The company is valued pre-money at 44,8 MSEK
Expected first day of trading: 19 November 2018 under the ticker name COMINT
Subscription commitments: The Company has received subscription commitments of approximately SEK 3,5 million, a total of approx. 50 % of the issue volume.
